Litigation and Arbitration
Our Philadelphia lawyers litigate and arbitrate claims on behalf of clients throughout the United States and around the world. Firm lawyers have particular experience in prosecuting civil claims under the U.S. Racketeer Influenced and Corrupt Organizations Act (“RICO”), which provides for the recovery of treble damages and attorney fees. The firm has litigated some of the largest RICO cases in the United States based on fraud and other misconduct arising from commercial matters in Russia, including disputes in the aluminum, diamond, oil, and titanium sectors. In addition, firm lawyers have also handled numerous complex international commercial arbitration matters in London, New York, Philadelphia, Stockholm and Zurich. These cases required the preparation and translation of witness statements, expert legal opinions, and expert damage reports in English and Russian.

Marks and Sokolov’s Moscow office, open since 1998, is the base for the firm’s operation in Russia and the CIS. Our Moscow lawyers have substantial experience representing clients in the following areas:

Real Estate
The firm’s Moscow office has an active practice representing clients in the Russian commercial real estate market. Our attorneys have substantial experience in all aspects of the purchase and sale of commercial, residential and historic real estate including the drafting and negotiation of sale and purchase agreements, leases, loan facilities, pledges, mortgages and other collateral agreements. In addition to closing numerous transactions, our lawyers regularly assist clients with matters arising from the management and operation of the newly-acquired properties.

In the last two years, the firm has assisted clients, ranging from large Western funds to private companies, in buying, selling and developing over $800 million of real estate in Russia. Recent representations include:


Consumer Rights Law
We are currently representing large FMCG ("frequently marketable consumer goods") and other companies in consumer litigations. Within the last year, we have successfully settled 15 disputes for our clients in the air carriage , electronic equipment and food industries.
Corporate Governance
Our Moscow lawyers have substantial experience in managing corporate governance for our clients. We have developed a profound expertise helping our clients establish, acquire and sell new businesses and ventures. Our lawyers regularly assist companies of all sizes in drafting by-laws and other corporate documents, incorporation, registration, reorganization and liquidation of legal entities, amendment of charter documents and all other corporate governance issues.

Recently, we have advised clients in the negotiation of shareholder agreements for several joint-ventures (over 60 mln USD JV of a development project in the center of Moscow, over 15 mln USD for a joint venture in publishing business) and provided complete support in the drafting of all the necessary documentation.
Employment and Immigration Law
Our Moscow lawyers regularly advise corporate clients on numerous areas of employment law including: the hiring and termination of both low and high ranking employees and managers, drafting employment contracts and related documents, job descriptions, and obtaining work permits for foreign employees.
Contract Law
Our lawyers are called upon on a regular basis to assist in the drafting and negotiating of contracts involving the international sale of goods. Marks, Sokolov & Burd’s attorneys provide companies and individuals with a full array of legal advice and support for their Ukrainian businesses. The Kyiv office includes English-speaking Ukrainian attorneys with experience in real estate and corporate matters as well as the practical aspects of doing business in Ukraine.

Recently, lawyers of the Kyiv office have been involved in the drafting of dual language contracts, conducting due diligence, reviewing leases, structuring large scale transactions, conducting permit verifications, and advising on legal compliance matters.

In addition, for the last two years, the firm has represented Ukrainian interests in acquisition transactions in the United States, as well as Western companies, in substantial, world-wide litigation arising from their Ukrainian business dealings.

Gene M. Burd, is the managing director of the Kyiv office. He is a Ukrainian born, US trained and practiced attorney. He is fluent in Russian and English and understands Ukrainian.
