What the case involved: Plaintiffs, including a shareholder in a BVI holding company, brought an action in Ohio state court alleged self-dealing transactions by other shareholders related to a purported $58.5 million investment in the BVI company’s main asset – a Delaware LLC which owned a steel company located in Ohio. Plaintiffs initially obtained a temporary restraining order, enjoining the sale of the steel company and the transfer of its assets.
Trial Court Result: Marks & Sokolov, LLC successfully obtained dismissal of all of the Plaintiffs’ claims for inspection of books and records and an accounting related to the Ohio steel plant under the internal affairs doctrine.   First, the trial court held that since Halliwel is incorporated under BVI law, the internal affairs doctrine mandated that BVI law be followed in determining the viability of Plaintiffs’ claims.  Second, the trial court determined Plaintiffs’ claims for conspiracy, fraud, and theft related to the $58.5 investment were derivative and could not be brought without BVI High court approval, as required by BVI law.  Third, in the alternative, the trial court dismissed for forum non conveniens because the BVI is an adequate forum, no critical sources of proof or witnesses were located in Ohio, and difficult questions of BVI law were at issue. Plaintiffs appealed.
Appeal Result: Marks & Sokolov, LLC successfully defeated the appeal with the Ohio Court of Appeals, which affirmed dismissal on September 11, 2017 pursuant to the internal affairs doctrine.   First, Court of Appeals affirmed that Plaintiffs’ claims should be analyzed under the laws of the BVI, the site of Halliwel’s incorporation.  The Court of Appeals rejected Plaintiffs’ argument Ohio law should be applied even though the steel plant was located in Ohio because the actual dispute between shareholders had no clear connection to Ohio.  Second, the Court of Appeals rejected Plaintiffs’ contention that the internal affairs doctrine had no application to their claims brought under Ohio law because Plaintiffs made no allegations that the subject matter loan agreements or contracts were negotiated or executed in Ohio; or that any aspect of the alleged conspiracy occurred within Ohio. Third, the Court of Appeals rejected Plaintiffs’ contention that the internal affairs doctrine did not apply because their claims were brought as “creditors” and affirmed the trial court’s ruling that Plaintiffs’ claims could only be characterized as “shareholder” based causes of actions, either direct or derivative.   As a result, it affirmed dismissal of the derivative claims because Plaintiffs lacked standing to bring such claims without leave from the BVI High Court under BVI law, which they did not obtain.   The Court of Appeals was not required to address the forum non coveniens or inspection of books and records issues.Суть дела: Истцы, включая акционера холдинговой компании, инкорпорированной в БВО, подали иск в суд штата Огайо, утверждая, что инвестиции в размере $58.5 миллионов долларов были выведены из основного актива компании БВО другими акционерами при помощи сделок в интересах этих акционеров. Основной актив компании БВО – компания в Делавере, которой принадлежал сталелитейный завод в Огайо. . Изначально истцы получили судебный запрет на продажу сталелитейного завода и передачу его активов.
Суд первой инстанции: Адвокаты Маркс и Соколов, ЛЛСи добились прекращения производства по делу. Одним из требований по иску было получение разрешения истцам ознакомиться с бухгалтерской отчетностью сталелитейного завода в Огайо. 1. Суд первой инстанции постановил, что, поскольку компания Halliwel зарегистрирована в соответствии с законодательством БВО,  то, согласно доктрине “внутренних дел”, все претензии истцов регулируются законодательством БВО. 2. Суд также установил, что требования истцов, основанные на утверждениях о коммерческом обмане, присвоении, а также неосновательном обогащении на сумму $58.5 миллионов, являются производными исками, которые, по законодательству БВО, не могут быть предъявлены без предварительного разрешения суда. 3. Суд оставил иск без рассмотрения на основании доктрины forum non conveniens, отметив, что суд БВО является надлежащим форумом для рассмотрения этого спора, никаких существенных доказательств или свидетелей в Огайо не находится, а также  при разрешении спора необходимо будет разрешать сложные вопросы по праву БВО. Истцы  обжаловали решение  в апелляции.
Суд апелляционной инстанции: Компания Маркс и Соколов ЛЛСи  добилась отклонения апелляционной жалобы: Апелляционный суд штата Огайо оставил без изменения решение суда первой инстанции от 11 сентября 2017 года, вынесенного на основании доктрины “внутренних дел”. 1.  Апелляционный суд подтвердил, что к требованиям истцов применимо право БВО, так как  там зарегистрирована компания Halliwel. Апелляционный суд отклонил  позицию истцов о применении законодательства штата Огайо, так как фактический спор между акционерами не имел связи с этим штатом,  несмотря на местонахождение сталелитейного завода,. 2. Апелляционный суд также отклонил утверждение истцов о том, что доктрина “внутренних дел” не может быть применена к  иску, поскольку истцы не предъявили никаких доказательств того, что договоры займа и других контрактов были согласованы или подписаны в штате Огайо, либо, что предполагаемый коммерческий обман имел место в штате Огайо. 3. Апелляционный суд отклонил утверждения истцов о неприменимости доктрины “внутренних дел”, на основании того, что они, предъявляя свои требования, выступали в качестве “кредиторов”, и оставил без изменения решение суда первой инстанции постановившее, что требования истцов могут рассматриваться только как требования “акционеров”,  будь то прямые или косвенные иски.  В итоге апелляционный суд оставил в силе  решение суда первой инстанции об отклонении производных исковых требований, поскольку, по законодательству БВО, истцы не получили предварительного решения Высшего  суда БВО. На этом основании, в соответствии с процессуальными правилами, апелляционный суд не должен был рассматривать вопросы, связанные с  аудитом бухгалтерской отчетности и с аргументами по “forum non conveniens”.
